These Terms of Use (“Terms”) govern your access to and use of coubus.com and its subdomains (the “Website”), operated by COUBUS OÜ (“COUBUS”, “we”, “us”). By accessing or using the Website you agree to be bound by these Terms and by our Privacy Policy and Cookie Policy. If you do not agree, please do not use the Website.

1. Scope

These Terms apply to the Website only. Services that COUBUS provides to clients — including design, software development, hosting, maintenance and related work — are governed exclusively by a separate written agreement between COUBUS and the client. Our own products (such as Spotrum and Notitask) have their own terms of service, which apply to their use. In the event of conflict, the specific agreement or product terms prevail over these Terms.

2. Information on the Website

The content of the Website is provided for general information about COUBUS, its capabilities and its products. It does not constitute an offer, a quotation, professional or technical advice, or a binding commitment of any kind. Descriptions of capabilities, processes, timelines and approaches are illustrative; the scope, price and terms of any engagement are determined solely by a written agreement. We may change, update or remove content at any time without notice.

3. Intellectual property

The Website and all of its content — including text, graphics, the COUBUS visual identity, logos, diagrams, illustrations, animations, layouts, code, page structure and the selection and arrangement of content — are owned by COUBUS OÜ or its licensors and are protected by copyright, trademark, database and other intellectual property laws of Estonia, the European Union and international treaties.

You may view, download and print pages of the Website for your personal, non-commercial use or to evaluate COUBUS as a potential supplier, provided that you keep all copyright and proprietary notices intact. Any other use — including reproduction, modification, distribution, public display, creation of derivative works, framing, scraping, or use of the content to train machine-learning models — requires our prior written permission.

Nothing in these Terms grants you any licence or right in any intellectual property of COUBUS except the limited right of use expressly set out above.

4. Trademarks

COUBUS, the COUBUS symbol, Spotrum, Notitask and associated logos are trademarks or trade names of COUBUS OÜ, whether or not registered. Other names and logos on the Website belong to their respective owners and are used for identification only. You may not use our trademarks in any way that could cause confusion, imply endorsement, or disparage COUBUS, without our prior written consent.

5. Permitted and prohibited use

You agree to use the Website only for lawful purposes and in a way that does not infringe the rights of, or restrict or inhibit the use of the Website by, anyone else. In particular, you must not:

  • use automated means (bots, scrapers, crawlers) to access, copy or monitor the Website or its content, except for search engines operating under our robots.txt;
  • attempt to gain unauthorised access to the Website, its servers, or any connected system, or to probe, scan or test their vulnerability;
  • interfere with the proper working of the Website, including by introducing malware, overloading our infrastructure, or circumventing security or anti-spam measures;
  • submit false, misleading, defamatory, infringing or unlawful information through the inquiry form or by email;
  • use the inquiry form to send unsolicited commercial communications or to harvest contact information;
  • remove or alter any copyright, trademark or other proprietary notice;
  • use the Website in any way that violates applicable law.

We may restrict or terminate your access to the Website without notice if we reasonably believe you have breached these Terms, and we reserve the right to take legal action where appropriate.

6. Inquiries and submissions

When you contact us through the inquiry form or by email, you confirm that the information you provide is accurate and that you are authorised to share it. Submitting an inquiry does not create a contractual relationship, an obligation on COUBUS to respond or to provide services, or any confidentiality obligation beyond what the law requires. Please do not send us confidential or proprietary information until a non-disclosure agreement is in place; if you do, you accept that we will treat it with reasonable care but without a contractual duty of confidentiality.

Ideas, suggestions or feedback you send us voluntarily about the Website or our services may be used by us without restriction or compensation, unless a written agreement provides otherwise. Personal data in your submissions is handled in accordance with our Privacy Policy.

7. Product references

Descriptions of our products reflect their state at the time of writing. Features and platforms marked as “in development” or “planned” are statements of intent, not commitments; they may change, be delayed or be withdrawn. Product availability may differ by region. Use of any product is subject to that product’s own terms and privacy policy.

8. Third-party websites and services

The Website contains links to third-party websites and services, including application stores and font and analytics providers. These are provided for convenience only. We do not control, endorse or assume responsibility for their content, availability, terms or privacy practices, and your use of them is at your own risk and subject to their terms.

9. Disclaimer of warranties

The Website and its content are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, timeliness or uninterrupted, error-free or secure operation. We do not warrant that the Website is free of viruses or other harmful components. You are responsible for implementing sufficient procedures to satisfy your own requirements for accuracy and for protecting your systems.

10. Limitation of liability

To the fullest extent permitted by applicable law, COUBUS OÜ, its directors, employees, contractors and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profit, revenue, business, goodwill, data or opportunity, arising out of or in connection with your access to or use of (or inability to use) the Website or its content, or any reliance on it, whether in contract, tort (including negligence), breach of statutory duty or otherwise, even if advised of the possibility of such damages.

To the extent liability cannot be excluded, our total aggregate liability arising out of or in connection with the Website shall not exceed EUR 100. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for intentional misconduct or gross negligence, or for any other liability that cannot be excluded or limited under Estonian law.

This section does not apply to services provided under a written agreement, whose liability provisions are set out in that agreement.

11. Indemnification

You agree to indemnify, defend and hold harmless COUBUS OÜ and its officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your violation of any law or third-party right, or any content or information you submit through the Website.

12. Availability and changes to the Website

We aim to keep the Website available but do not guarantee uninterrupted access. We may suspend, withdraw, restrict or change all or any part of the Website, temporarily or permanently, for maintenance, security, business or legal reasons, without notice or liability.

We may revise these Terms at any time by publishing the updated version on the Website with a new effective date. Your continued use of the Website after that date constitutes acceptance of the revised Terms. Please review this page periodically.

13. Governing law and jurisdiction

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or the Website, are governed by the laws of the Republic of Estonia, without regard to its conflict-of-law rules. The courts of Estonia, with Harju County Court (Harju Maakohus) as the court of first instance, have exclusive jurisdiction, without prejudice to any mandatory consumer protection provisions of the country of your residence that may apply if you use the Website as a consumer. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Consumers in the EU may also use the European Commission’s Online Dispute Resolution platform. We are not obliged and do not undertake to participate in dispute resolution before a consumer arbitration board.

14. General provisions

  • Entire agreement. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and COUBUS regarding use of the Website.
  • Severability. If any provision is held invalid or unenforceable, it shall be enforced to the maximum extent permitted and the remaining provisions shall remain in full force.
  • No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
  • Assignment. You may not assign or transfer your rights under these Terms. We may assign our rights to a successor or affiliate.
  • No third-party beneficiaries. These Terms do not confer rights on any third party.
  • Language. These Terms are drafted in English. Any translation is provided for convenience; the English version prevails.
  • Survival. Sections 3, 4, 6, 9, 10, 11, 13 and 14 survive any termination of your access to the Website.
